The code of ethical conduct that Broker, under this Agreement, agrees to adhere to when acting on behalf of or representing Bravo Health at any time; such code is attached hereto and incorporated herein as Exhibit A of this Agreement. Violation of the Code of Ethics or Health Insurance Leads Policy shall be deemed a material breach of this Agreement and shall be considered termination for cause under the terms of this Agreement.

Any employees of the Broker, contracted independent agents, self employed contractors or other contracted status with Broker for the purpose of soliciting general public for CIP Health Plans.

The Health Insurance Portability and Accountability Act of 1996 and as amended and as implemented by CMS and the U. S. Department of Health and Human Services pursuant to which the Parties agree to the terms and conditions of the Business Associate Addendum, attached hereto and incorporated herein as Exhibit B.
